1. Acceptance of Terms

Means an AI-powered software agent, automated worker, assistant, workflow, or similar system configured or deployed through Reach Far AI.

“AI-Generated Content”

Means text, audio, video, images, code, data, recommendations, summaries, or other output generated by or through the Services.

“Company IP”

Means all intellectual property owned by or licensed to Bibha AI Labs Private Limited, including software, algorithms, AI systems, models, designs, interfaces, trademarks, trade secrets, documentation, and other proprietary technology.

“Content”

Means text, data, images, audio, video, code, files, configurations, prompts, instructions, and other materials uploaded, submitted, transmitted, generated, or processed through the Services.

“Services”

Means Reach Far AI and its websites, applications, software, APIs, AI features, workflows, integrations, documentation, and related services provided by Bibha AI Labs Private Limited.

“Subscription Plan”

Means the pricing or subscription tier selected by a User that determines the scope of access to the Services.

“Third-Party Services”

Means external applications, tools, platforms, APIs, or services that integrate with or are accessible through Reach Far AI.

“User”

Means any individual or legal entity accessing or using the Services.

“User Content”

Means Content submitted, uploaded, created, or transmitted by a User through the Services.

3. Reach Far AI Services

3.1 Overview

Reach Far AI is an AI-powered business platform operated by Bibha AI Labs Private Limited.

Depending on the applicable product configuration and Subscription Plan, the Services may provide capabilities including:

AI-powered sales and marketing workflows.
AI agents and automated assistants.
Lead and prospect management.
Customer engagement workflows.
Automated communications.
Business process automation.
AI-powered content generation.
Knowledge-base functionality.
Workflow automation.
Third-party integrations.
Analytics and reporting.
API-based access.
Voice or conversational AI functionality where enabled.

The specific features available to you depend on your Subscription Plan, configuration, and the Services purchased or otherwise made available to you.

3.2 Service Availability

We strive to maintain reliable availability of the Services.

However, we do not guarantee that the Services will:

Always be available.
Operate without interruption.
Be completely error-free.
Be free from vulnerabilities.
Meet every particular business requirement.

The Services may occasionally be unavailable due to:

Scheduled maintenance.
Emergency maintenance.
Updates.
Infrastructure failures.
Third-party service failures.
Internet or telecommunications failures.
Events outside our reasonable control.

3.3 Changes to Services

4. Eligibility

If you use Reach Far AI on behalf of a company, organization, or other legal entity:

You represent that you have authority to bind that entity.
The entity is responsible for its authorized users.
“You” and “your” may refer to that entity where appropriate.

5. User Accounts

5.1 Account Registration

Certain Services require you to create an Account.

You agree to provide information that is:

Accurate.
Complete.
Current.
Not misleading.

You must update your information when necessary.

5.2 Account Credentials

You are responsible for protecting:

Passwords.
API keys.
Access tokens.
Authentication credentials.
Other security credentials associated with your Account.

You must not knowingly share credentials with unauthorized individuals.

5.3 Account Security

You must notify us promptly if you suspect:

Unauthorized access.
Credential compromise.
Account takeover.
Security incidents involving your Account.

5.4 Account Responsibility

6. User Content and AI-Generated Content

6.1 Ownership of User Content

You retain ownership of your User Content.

Nothing in these Terms transfers ownership of your User Content to Bibha AI Labs Private Limited.

6.2 License to Provide the Services

By submitting User Content to Reach Far AI, you grant Bibha AI Labs Private Limited a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify as technically necessary, transmit, and display that User Content solely as reasonably necessary to:

Provide the Services.
Maintain the Services.
Operate your configured workflows.
Process your requests.
Provide customer support.
Maintain security.
Comply with applicable law.

6.3 AI Model Training

Your User Content will not be used to train general-purpose AI models unless such use is expressly disclosed and permitted through applicable settings, agreements, or consent.

Where third-party AI providers are used to provide a feature, applicable data processing and usage terms may also apply.

6.4 AI-Generated Content

Subject to your compliance with these Terms and applicable law:

You may use AI-Generated Content produced for you through the Services.
To the extent ownership rights can legally exist in such output, those rights belong to you unless otherwise specified in an applicable agreement.
AI-Generated Content may not be unique.
Similar or substantially similar content may be generated for other users.

AI-generated output may also contain material originating from third-party models or services.

6.5 Responsibility for Content

You are responsible for:

User Content you submit.
Instructions and prompts you provide.
AI workflows you configure.
AI-generated output you use or distribute.
Reviewing AI-generated output before relying upon it.
Ensuring your use of the Services complies with applicable law.
Obtaining necessary permissions and consents for information you process.

6.6 Content Removal

We may suspend or remove Content where reasonably necessary to:

Enforce these Terms.
Comply with applicable law.
Respond to valid legal requests.
Protect the Services.
Protect users or third parties.
Address security or abuse concerns.

7. Intellectual Property

7.1 Company Intellectual Property

The Services and all related technology, including:

Software.
Source and object code.
Algorithms.
AI systems.
Models owned or developed by the Company.
Interfaces.
Designs.
Documentation.
Workflows provided by the Company.
Trade secrets.
Trademarks.
Service marks.
Proprietary technology.

are owned by or licensed to Bibha AI Labs Private Limited.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

7.2 Reach Far AI Trademarks

“Reach Far AI,” its logos, product names, service names, designs, slogans, and related branding are owned by or licensed to Bibha AI Labs Private Limited.

You may not use these trademarks without prior written permission.

7.3 User License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your authorized business purposes.

7.4 Restrictions

You must not:

Copy or reproduce the Services except as expressly permitted.
Modify or create derivative works of the Services.
Sell, lease, sublicense, or distribute the Services.
Reverse engineer, decompile, or disassemble the Services except where expressly permitted by applicable law.
Attempt to obtain source code.

Scrape or crawl the Services except through approved mechanisms.
Circumvent technical restrictions or usage limits.
Frame or mirror the Services without written permission.

7.5 Feedback

If you provide suggestions, ideas, recommendations, or other feedback regarding Reach Far AI (“Feedback”), you grant Bibha AI Labs Private Limited a worldwide, royalty-free, perpetual, irrevocable right to use and incorporate such Feedback into its products and services without compensation to you.

8. Acceptable Use Policy

8.1 General Conduct

You agree to use Reach Far AI only for lawful purposes and in accordance with these Terms.

You are responsible for your use of the Services and for the behavior and output of AI workflows or agents you configure.

8.2 Prohibited Conduct

You must not use the Services to:

Conduct unlawful, fraudulent, or deceptive activities.
Generate or distribute malicious software.
Facilitate phishing or credential theft.
Conduct unauthorized security testing or attacks.
Gain unauthorized access to systems or accounts.
Circumvent security controls or rate limits.
Harass, threaten, or intentionally harm individuals.
Impersonate individuals or organizations deceptively.
Conduct unlawful surveillance.
Collect personal information without an appropriate legal basis.
Send spam or unlawful automated communications.
Violate applicable telecommunications or anti-spam laws.
Violate privacy or data protection laws.
Infringe intellectual property rights.
Create or distribute unlawful content.
Use the Services to develop or control weapons intended to cause physical harm.
Exploit or endanger minors.
Circumvent Subscription Plan restrictions.
Use the Services to interfere with or disrupt our infrastructure.
Use the Services for activities prohibited by applicable sanctions or export-control laws.

8.3 Automated Outreach

If you use Reach Far AI for automated email, messaging, calling, or other outreach, you are responsible for complying with all applicable laws and regulations, including applicable:

Anti-spam requirements.
Telemarketing requirements.
Do-not-contact requirements.
Consent requirements.
Recording and notification requirements.
Privacy and data protection requirements.

8.4 AI Disclosure

Where required by law or reasonably necessary to avoid deception, you must appropriately disclose that an interaction is being conducted or assisted by an AI system.

9. AI-Specific Terms

9.1 AI Output Is Not Guaranteed to Be Accurate

You acknowledge that AI systems can produce:

Errors.
Inaccuracies.
Hallucinations.
Incomplete information.
Biased outputs.
Unexpected results.

You must independently verify important information before relying upon it.

9.2 Human Oversight

You are responsible for implementing appropriate human review and oversight for workflows where incorrect AI output could cause material harm, financial loss, legal consequences, or other significant effects.

9.3 Automated Actions

Where you configure AI agents or workflows to take actions automatically, you are responsible for:

Configuring appropriate permissions.
Reviewing workflow logic.
Setting appropriate limits.
Monitoring execution.
Reviewing important outputs.
Ensuring compliance with applicable law.

9.4 External Communications

If an AI agent communicates with customers, prospects, employees, or other third parties on your behalf, you are responsible for:

The content of those communications.
Required disclosures.
Consent requirements.
Opt-out mechanisms.
Applicable communications laws.

9.5 Sensitive Information

You should not submit highly sensitive personal information to the Services unless:

The relevant feature expressly supports such information.
You have an appropriate legal basis.
Appropriate safeguards are in place.
The processing is permitted under applicable law and your agreement with us.

9.6 High-Risk Decisions

You must not rely solely on AI-generated information for decisions involving significant legal, financial, employment, healthcare, housing, education, or similarly consequential effects without appropriate human review and safeguards.

9.7 Multi-Agent Workflows

Where Reach Far AI supports workflows involving multiple AI agents:

You are responsible for the workflow configuration.
You are responsible for actions performed by your configured agents.
You acknowledge that interactions between automated systems may produce unexpected results.
You should implement appropriate human oversight for consequential workflows.

10. Third-Party Services and Integrations

10.1 Third-Party Integrations

Reach Far AI may allow integration with external applications, tools, APIs, platforms, and services.

Examples may include:

CRM platforms.
Communication platforms.
Marketing tools.
Productivity tools.
Databases.
Analytics services.
Cloud platforms.

The availability of integrations may change over time.

10.2 User Responsibility

You are responsible for:

Maintaining valid third-party accounts.
Complying with third-party terms.
Maintaining appropriate permissions.
Ensuring that data shared with third parties is lawfully processed.
Reviewing the security and privacy practices of third-party providers.

10.3 No Endorsement

The availability of a third-party integration does not constitute an endorsement or recommendation by Bibha AI Labs Private Limited.

We do not control third-party services and are not responsible for their independent:

Availability.
Security.
Privacy practices.
Content.
Performance.
Terms of service.

10.4 Third-Party Actions

We are not responsible for actions taken by third-party services based on instructions, workflows, API calls, or data initiated through your use of Reach Far AI.

10.5 API Usage

If you access Reach Far AI through an API:

You must comply with applicable API documentation.
You must comply with rate limits.
API credentials must be kept confidential.
You must not abuse or overload the API.
You must not use the API to circumvent product restrictions.
You must not use the API to build a competing service where prohibited by these Terms.
We may modify, suspend, or discontinue APIs with reasonable notice where practicable.

11. Fees and Payment

Enterprise or custom plans.

The features, usage limits, pricing, and availability of each plan are described at the time of purchase or in the applicable order form.

11.2 Pricing

We may change pricing from time to time.

For existing paid subscriptions, price changes will be communicated in accordance with the applicable subscription terms and applicable law.

11.3 Billing

Depending on your plan:

Fees may be billed monthly or annually.
Payment may be due at the time of purchase or upon invoice.
You authorize the applicable payment provider to charge your selected payment method.
Subscription renewals may occur automatically unless cancelled before the applicable renewal date.

11.4 Taxes

Fees may be exclusive of applicable taxes unless expressly stated otherwise.

You are responsible for applicable taxes associated with your purchase or use of the Services, except taxes imposed on the Company's income.

11.5 Late Payments

For invoiced accounts, overdue amounts may result in:

Suspension of access.
Applicable late-payment charges specified in your order form.
Collection costs permitted by law.

For enterprise customers, the applicable commercial agreement will govern.

11.6 Refunds

Refund eligibility depends on the applicable Subscription Plan, purchase terms, order form, and applicable law.

Unless otherwise stated in writing:

Fees are generally non-refundable after the applicable billing period begins.
Unused portions of a subscription may not be refundable.
Enterprise refunds are governed by the applicable enterprise agreement.

Nothing in this section limits mandatory refund rights under applicable law.

11.7 Free or Trial Plans

Free or trial access may be subject to:

Time limits.
Fair-use restrictions.

We may modify or discontinue free or trial offerings subject to applicable law.

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BIBHA AI LABS PRIVATE LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

THE TOTAL FEES PAID BY YOU TO BIBHA AI LABS PRIVATE LIMITED FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
INR 10,000.

For free users who have not paid any fees, the maximum aggregate liability will be INR 10,000, to the maximum extent permitted by applicable law.

12.2 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIBHA AI LABS PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

Indirect damages.
Incidental damages.
Special damages.
Consequential damages.
Punitive damages.
Exemplary damages.
Loss of profits.
Loss of revenue.
Loss of business opportunities.
Loss of goodwill.
Loss of anticipated savings.
Costs of substitute services.
Damages resulting from reliance on AI-generated output.
Damages arising from third-party services or integrations.

To the maximum extent permitted by law, we are not responsible for losses arising solely from:

AI-generated inaccuracies.
AI-generated recommendations.
User-configured automated actions.
Decisions made by users based on AI-generated output.
Actions taken by third-party systems based on user-configured workflows.

12.4 Mandatory Legal Rights

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

13. Disclaimer of Warranties

13.1 As-Is Basis

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

13.2 No Warranty

We do not warrant that:

The Services will always be available.
The Services will be uninterrupted.
The Services will be error-free.
AI-generated output will be accurate.
AI-generated output will be complete.
AI-generated output will be suitable for a particular purpose.
AI agents will behave exactly as expected.
Third-party integrations will remain available.
The Services will meet every specific business requirement.
The Services will be free from security vulnerabilities.

13.3 AI Disclaimer

AI-generated information should not be treated as a substitute for professional advice.

You should consult appropriately qualified professionals before making decisions based on AI-generated information, particularly in legal, medical, financial, employment, regulatory, or other specialized areas.

13.4 Jurisdictional Variations

Some jurisdictions do not permit certain warranty exclusions or limitations.

In those jurisdictions, the applicable exclusions and limitations apply only to the maximum extent permitted by law.

14. Indemnification

14.1 User Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Bibha AI Labs Private Limited and its officers, directors, employees, agents, affiliates, successors, and assigns from claims, damages, losses, liabilities, costs, and reasonable legal expenses arising from:

Your violation of these Terms.
Your unlawful use of the Services.
Your User Content.
Your AI-generated content or configurations.
Your AI agents or automated workflows.
Your violation of applicable law.
Your violation of third-party rights.
Your use of third-party services through Reach Far AI.
Actions taken through integrations configured by you.

14.2 Indemnification Procedure

Provide reasonable notice of the claim.
Provide reasonable cooperation.
Permit you to control the defense and settlement, subject to our reasonable approval of settlements affecting our rights or obligations.

15. Termination

15.1 Termination by User

You may terminate your Account by:

15.2 Termination by Company

We may suspend or terminate your access to the Services where reasonably necessary, including if:

You materially violate these Terms.
You violate the Acceptable Use Policy.
You fail to pay applicable fees.
Your use creates a security or legal risk.
You engage in fraudulent or abusive conduct.
Required by law.
We discontinue the applicable Service.

Where appropriate and reasonably practicable, we may provide notice and an opportunity to remedy the violation.

15.3 Effect of Termination

Upon termination:

Your right to access the Services will cease.
Your active AI agents and workflows may be disabled.
Access to certain Content may cease.
Your data may be deleted according to our Privacy Policy and applicable agreements.
Amounts accrued before termination remain payable.

15.4 Data Export

Where supported by the Services, you may export eligible User Content before termination.

Data export capabilities may vary based on your Subscription Plan.

After applicable retention or grace periods expire, we may delete or anonymize data in accordance with our Privacy Policy.

16. Governing Law and Jurisdiction

16.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

16.2 Jurisdiction

Subject to the dispute-resolution provisions below, courts of competent jurisdiction in Bangalore, Karnataka, India shall have jurisdiction over disputes arising from these Terms or the Services.

16.3 Mandatory Rights

Nothing in this section limits mandatory rights or protections available to consumers under applicable law.

17. Dispute Resolution

17.1 Good-Faith Negotiation

Before initiating formal proceedings, the parties should attempt to resolve disputes through good-faith discussions.

A party raising a dispute should provide written notice describing:

The parties will attempt to resolve the matter for thirty (30) days following the notice.

17.2 Mediation

If the dispute is not resolved through negotiation, the parties may mutually agree to mediation in Bangalore, Karnataka, India.

If the dispute cannot be resolved through negotiation or mutually agreed mediation, either party may pursue available legal remedies in a court of competent jurisdiction.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, security, or other legally protected interests.

18. Modifications to These Terms

Changes in business practices.
Changes in applicable law.

constitute the entire agreement concerning your use of the applicable Services.

For enterprise customers, a separately executed agreement may supersede these Terms to the extent of a conflict.

23. Waiver

A failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Any waiver must be made by an authorized representative of Bibha AI Labs Private Limited.

24. Assignment

24.1 User Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.
